Ethical Corporate Management

Commitment and Organization

To build a culture of integrity and conduct business on the principles of fairness, honesty, trustworthiness and transparency, Enrestec actively promotes ethical corporate management, maintains sound business practices and risk controls, and works to prevent unethical conduct. In addition to an established whistleblowing channel and whistleblower protection measures, the Company has adopted the following rules to implement its ethical corporate management program:

Responsible Unit

The Audit Office serves as the part-time unit responsible for promoting ethical corporate management. It formulates and oversees ethics policies and prevention programs, provides reporting channels, requires new employees to sign employment contracts that include compliance with Company policies, includes ethics compliance in performance evaluations, and reports to the Board of Directors annually.

Communication

Internal: Integrity is one of Enrestec's core values. The Company regularly communicates its ethical corporate management policy to directors, managers, employees, appointees and persons with substantial control, and does not tolerate bribery, fraud, coercion, improper benefits or any other illegal conduct in any form.

External: The Company communicates its commitment to sustainability and ethical management through its website. Before entering into a business relationship, it assesses the counterparty's legality and integrity record and requires counterparties to sign an Integrity Commitment Statement. Business with any counterparty found to violate the policy is terminated immediately and the counterparty is barred from future cooperation.

Training

The Company arranges external courses and internal training on corporate governance, insider regulations and ethical conduct for directors, managers, employees, appointees and persons with substantial control.
